Terms of Service

1. Eligibility and Accounts

To use this website, You must be at least 13 years old and meet any higher minimum age required where you live. If you are under the age of majority, You may use Sipz only with the permission and supervision of a parent or legal guardian who has reviewed these Terms. Features involving alcohol are only for people of legal drinking age in their jurisdiction. You must provide accurate account information, keep your credentials confidential, promptly notify us of suspected unauthorized use, and are responsible for activity through your account. You may not sell, transfer, or share your account.

2. User Content & License

"User Content" means recipes, prompts, images, comments, ratings, profile information, messages, and other material or content you submit. You retain ownership in your User Content. You give Idle Systems Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, format, adapt, translate, display, distribute, and otherwise use User Content only as reasonably needed to operate, secure, improve, and promote the Service ("License"). This License continues while your content is on Sipz and afterward only to the extent (a) others have already shared copies, (b) Sipz maintains reasonable backups, or (c) it is needed for legal compliance, or enforcement. You represent that you have all rights and permissions needed for your User Content and that our permitted use will not violate applicable law or another person's rights. Public content may be viewed, copied, or shared by others, so do not post anything you want to keep confidential.

3. Acceptable Use

• You will not use the Service to break the law, facilitate illegal activity, or endanger others.
• You will not infringe or violate intellectual property, privacy, publicity, confidentiality, or other legal rights.
• You will not interfere with the Service, overload it, evade usage limits, or disrupt another person's use.
• You will not attempt unauthorized access to systems, data, accounts, or non-public parts of the Service.
• You will not upload malware, harmful code, or content designed to compromise security.
• You will not threaten, harass, exploit, impersonate, or target people with hateful, sexual, violent, or deceptive content.
• You will not scrape, crawl, reverse engineer, or use automated means to access the Service except with our written permission or where applicable law expressly allows it.
• You will not present recipes, health claims, reviews, or AI-generated material in a false, misleading, fraudulent, or undisclosed commercial manner.

4. Community Content and Moderation

Recipes, profiles, comments, ratings, and other community content may come from users or AI and do not necessarily reflect Idle Systems Inc.'s views. Ratings and reviews must be honest and based on genuine experience; you may not manipulate them. We may review, restrict, remove, preserve, or report content and may limit accounts when reasonably necessary to enforce these Terms, protect users or the Service, respond to complaints, or comply with law. We are not required to pre-screen all content and cannot guarantee that objectionable or inaccurate content will never appear. If you believe content violates your rights, contact us with enough detail to investigate.

If you believe content on the Service infringes your copyright, send a notice to contact@sipz.ai identifying the copyrighted work, the material you believe infringes it and where it is located on the Service, your contact details, and a statement that you believe in good faith the use is not authorized. Where the law provides a formal notice procedure, we will handle your notice under it. We may remove or disable access to the material, notify the affected user, and give that user a chance to respond. We will, in appropriate circumstances, terminate the accounts of users who repeatedly infringe the rights of others.

5. AI-Assisted Features

Sipz uses automated systems to generate and revise recipes, images, health summaries, search results, and suggestions ("Output"). Sipz may run automated data, formatting, flavour, and safety checks, but Output is not necessarily reviewed by a person or qualified professional and can still be inaccurate, incomplete, inappropriate, unsafe, or may resemble content generated for other users. You must review Output and verify ingredients, amounts, instructions, claims, and rights before using or sharing it. As between You and Idle Systems Inc., and subject to applicable law and third-party rights, you may use Output generated for You; Idle Systems Inc. does not warrant that Output is unique, protectable, or non-infringing. Free or promotional AI credits have no cash value, are non-transferable, and may expire or change on reasonable notice. Any future purchase of credits or subscriptions will also be governed by the price, renewal, cancellation, and refund terms clearly shown at checkout.

6. Health & Safety Disclaimer

Sipz provides general information about food, beverages, ingredients, nutrition, and possible health effects. It is not medical care and is not a substitute for advice from a physician, registered dietitian, pharmacist, or other qualified professional. Nutrition values are estimates that depend on correctly matching each ingredient to a database entry and can vary by brand, serving size, preparation, and data source. Health summaries may use third-party research and databases, but evidence can be limited, conflicting, or inapplicable to you. Before preparing or consuming anything, check allergens, intolerances, medication and supplement interactions, pregnancy-related risks, medical conditions, safe dosage, food handling, and equipment instructions. Do not use Sipz to diagnose, treat, cure, or prevent a condition or to delay professional or emergency care.

7. Recipe and Alcohol Risks

You are responsible for deciding whether a recipe, ingredient, amount, technique, or piece of equipment is suitable and lawful for you. Use appropriate food-safety practices and follow manufacturer instructions. If a recipe contains alcohol, you must be of legal drinking age, comply with local law, never provide alcohol to minors, and never drive or operate machinery while impaired. Sipz does not encourage excessive drinking and does not guarantee that alcohol quantities, serving sizes, fermentation methods, supplement amounts, or preparation directions are appropriate for your circumstances.

8. Sipz Intellectual Property and Your License

The Service—including its software, design, branding, databases, and content other than User Content—is owned by Idle Systems Inc. or its licensors and protected by law. As long as You comply with these Terms, Idle Systems Inc. gives you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes. Except as these Terms or law allow, You may not copy, sell, license, modify, create derivative works from, publicly display, distribute, or exploit the Service or remove ownership notices. No rights are granted by implication.

9. Third-Party Services

Sipz depends on or may link to third-party services, data sources, research, products, and websites. Their own terms and privacy policies may apply. References or links do not mean Idle Systems Inc. endorses them. We do not control and are not responsible for third-party availability, content, accuracy, security, products, or practices.

10. Changes to the Service or Terms

We may add, change, suspend, or discontinue features, limits, or access to the Service. We may revise these Terms from time to time. Updated terms will be posted at https://www.sipz.ai/terms. Material changes apply only going forward. Where law requires, we will ask you to accept them. Otherwise, continued use after the effective date means you accept the revised Terms. Changes do not alter how an existing dispute is decided unless both sides agree or law requires it.

11. Termination

You may stop using Sipz and request account deletion at any time. We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created legal or security risk, harmed users or the Service, failed to pay an amount due, or if we can no longer reasonably continue to provide the Service. When reasonable, we will provide notice and an opportunity to address the issue, but we may act immediately for urgent safety, security, legal, or abuse concerns. Account termination ends your license to use the Service. Data and content will be handled under our Privacy Policy, subject to backups, legal obligations, and the surviving content license described above. Sections that by their nature should survive, including ownership, disclaimers, liability, indemnity, disputes, and general terms, remain in effect.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Idle Systems Inc. disclaims implied warranties and conditions, including merchantable quality, fitness for a particular purpose, title, and non-infringement. We do not promise that the Service or any recipe, Output, health goal, nutrition estimate, data, or content will be accurate, complete, safe, available, secure, uninterrupted, or suitable for you, or that content will not be lost. This section does not exclude any warranty or consumer right that cannot lawfully be excluded.

13. Limitation of Liability

To the maximum extent permitted by law, Idle Systems Inc. and its owners, affiliates, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunities, or data, arising from or related to the Service. To the maximum extent permitted by law, Idle Systems Inc.'s liability for all claims arising from or related to the Service will not exceed the amount you paid Idle Systems Inc. for the Service during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, wilful misconduct, gross negligence, or liability that cannot be limited under applicable law.

14. Indemnification

To the extent permitted by law, you will indemnify Idle Systems Inc. and its owners, affiliates, and personnel against third-party claims, losses, and reasonable legal costs caused by your unlawful use of the Service, your User Content, your infringement of another person's intellectual property rights, or your material breach of these Terms. This obligation does not apply to the extent a claim is proven to be caused by Idle Systems Inc.'s negligence or misconduct. Idle Systems Inc. will give you reasonable notice of a claim under this section, will allow you to control its defence with qualified counsel, and will reasonably cooperate with you at your expense. You may not settle a claim in a way that admits fault by or imposes obligations on Idle Systems Inc. without our written consent, which will not be unreasonably withheld.

15. Governing Law and Disputes

Before starting a court proceeding, the party raising a dispute will give the other party written notice describing it, and both parties will then try in good faith to resolve it within 30 days. These Terms are governed by the laws of the Province of Ontario , Canada, and applicable federal laws of Canada, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection rights or venue rules that apply where you live, disputes must be brought in the courts located in Ontario, Canada . Nothing in these Terms prevents either party from seeking urgent injunctive relief, bringing an eligible claim in small claims court, or exercising a right that cannot legally be waived. To the maximum extent permitted by applicable law, the parties agree that the provisions of the United Nations Convention on Contracts for the International Sale of Goods, as amended, will not apply to these Terms.

17. General Terms

• These Terms, the Privacy Policy, and any additional terms shown for a particular feature or purchase form the entire agreement about the Service and replace earlier discussions about the same subject.
• If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver.
• You may not assign these Terms without our consent. We may assign them as part of a reorganization, financing, merger, sale, or transfer of the Service. We are not responsible for any delay or failure to perform caused by events reasonably beyond our control. Electronic notices and records satisfy written-notice requirements where permitted by law.
